Terms of Service

1. Who These Terms Apply To
These Terms of Service ("Terms") govern your use of the Metamorphix Design website at metamorphixdesign.com and any services provided by Metamorphix Design, LLC ("Metamorphix Design," "we," "us," or "our"), a company registered in Wyoming, USA.
By using this website or engaging our services, you agree to these Terms. If you don't agree, don't use the site or engage our services.
2. Use of This Website
You may use this website for lawful purposes only. You agree not to:
- Use the site in any way that violates applicable local, national, or international law
- Attempt to gain unauthorized access to any part of the site or its infrastructure
- Transmit any unsolicited commercial communications via our contact forms
- Scrape, harvest, or extract data from the site in an automated manner without prior written consent
- Use the site to transmit malware, viruses, or any other harmful code
We reserve the right to restrict or terminate access to the site for any user who violates these terms or who we reasonably believe is acting in bad faith.
3. Services and Engagement
Discovery calls and consultations
Free strategy calls and consultations are offered at our discretion. Booking a call does not constitute a service agreement or guarantee of engagement. No work begins until a formal proposal is accepted and a deposit is received.
Service agreements
All paid engagements are governed by a separate Service Agreement or Statement of Work provided to the client before work begins. In the event of conflict between these Terms and a signed Service Agreement, the Service Agreement takes precedence.
Scope of work
Work is performed according to the agreed scope. Changes to scope during an engagement ("scope creep") will be documented and may result in adjusted pricing or timelines. We will always communicate this clearly before proceeding.
4. Payment Terms
Deposits and payment
Build engagements require a deposit before work begins. The deposit amount is stated in your project scope document and varies by engagement type. The remaining balance is due at launch unless your scope document specifies otherwise. Launch Period engagements are billed monthly in advance.
Unless otherwise specified in a Service Agreement:
- Invoices are due within 7 days of issue unless otherwise agreed
- Late payments may result in paused work until the account is current
All prices are listed in USD. Clients outside the United States are responsible for any currency conversion costs or applicable taxes in their jurisdiction.
5. Cancellation and Refunds
Launch Period engagements
The Launch Period runs for a term of one to three months, agreed in writing before it begins. It is a fixed-term engagement, not a rolling retainer, and it ends on the agreed date without either party giving notice.
Either party may end a Launch Period early with 30 days written notice. Work already delivered is billed; work not yet delivered is not.
Content packages
Content packages are billed monthly and may be cancelled at any time with 30 days written notice. There is no minimum term.
Project work
Deposits are refundable until your kickoff call. After the kickoff call, deposits are non-refundable, as work and scheduled capacity have been committed at that point. If a project is cancelled after work starts, payment is due for all work completed to date, calculated at the agreed project rate on a pro-rata basis.
Standalone products
Research and strategy products purchased outright, such as the Creator Blueprint, are not build engagements and are not governed by the deposit terms above. Each carries its own stated guarantee, which appears on the product's page at the time of purchase.
What we commit to
We deliver what your scope document describes, at the price it states. If a timeline is quoted, we hold to it — and if something is going to slip, you hear it before the date, not after.
Timelines vary by scope
A six-page practice site is a different piece of work from a multi-location build with a custom CMS and automation behind it. Some builds move faster than quoted, some take longer, and scope changes move the date. Whichever it is, the date in your scope document is the one we're accountable to, and any change to it gets agreed in writing before it happens.
What we don't guarantee
Rankings, traffic volume, or lead counts. Search results depend on your market, your competitors, and Google, none of which we control. Anyone promising you a specific position on a specific date is guessing or selling.
6. Intellectual Property
Your content
You retain ownership of all content, assets, and materials you provide to us. By providing them, you grant us a limited license to use them solely for the purpose of delivering your project.
Deliverables
Upon receipt of full payment, you own the final deliverables produced for your project — website files, written content, design assets, and related materials. Ownership transfers in full once all invoices are settled.
Ownership
On final payment, you own everything produced under the engagement: the site code, the content, the design files, the domain, and every account created on your behalf. Accounts are created in your name where the platform allows it. Metamorphix retains no license, no lock, and no ongoing access requirement. You may take the work to another provider at any time without our involvement.
Our tools and systems
Proprietary systems, methodologies, templates, and internal processes developed by Metamorphix Design remain our intellectual property. Delivering a project to you does not transfer rights to our underlying frameworks or systems.
Website content
All content on metamorphixdesign.com — including copy, case studies, graphics, and structural elements — is the property of Metamorphix Design, LLC. You may not reproduce or repurpose it without written permission.
7. Client Responsibilities
Successful outcomes require your participation. You agree to:
- Provide timely feedback within agreed review windows (typically 5 business days)
- Supply necessary assets, logins, and information as requested
- Ensure that any content or materials you provide do not infringe third-party rights
- Designate a single point of contact for the engagement to avoid conflicting instructions
Delays caused by late feedback or missing client-side assets may affect project timelines. We are not responsible for missed deadlines that result from client delays.
8. Confidentiality
We treat all client information as confidential. We will not share your business data, strategies, or proprietary information with third parties without your written consent, except as required by law or to deliver your project (e.g., using a hosting provider or email platform).
We reserve the right to reference completed work in our portfolio and case studies unless you specifically request otherwise in writing before engagement begins.
9. Limitation of Liability
To the fullest extent permitted by law, Metamorphix Design's liability for any claim arising from our services is limited to the total amount paid by you for the specific service giving rise to the claim in the 3 months preceding the claim.
We are not liable for indirect, incidental, or consequential damages including lost profits, lost data, or business interruption — even if we were advised of the possibility of such damages.
We do not guarantee specific SEO rankings, traffic volumes, or revenue outcomes. Digital marketing results depend on many factors outside our control, including search engine algorithm changes, market conditions, and client-side variables. Where we offer specific performance benchmarks, these are estimates based on experience — not guarantees.
10. Third-Party Tools and Services
Our services may involve the use of or integration with third-party platforms (WordPress, Astro, GoHighLevel, Zoho, Stripe, Cal.com, etc.). We are not responsible for downtime, data loss, pricing changes, or policy changes by these providers. We will always recommend reputable tools and flag any significant changes that affect your project.
11. Dispute Resolution
If a dispute arises from these Terms or any service engagement, both parties agree to attempt resolution in good faith before pursuing formal legal action. Contact us at [email protected] and we will respond within 5 business days.
These Terms are governed by the laws of the State of Wyoming, USA. Any legal proceedings will be conducted in Wyoming.
12. Changes to These Terms
We may update these Terms as our business evolves. When we do, the "Last updated" date at the top of this page changes. Continued use of the site after an update constitutes acceptance of the revised Terms. For active client engagements, material changes will be communicated directly.
